THE CXC MODEL

CXC is a CommExcellence platform credit with a fixed USD reference value.

1 CXC = USD 1 of CommExcellence platform value. CXC itself is not cryptocurrency, is not a blockchain token, is not legal tender and is not an investment. Cryptocurrency is used only as the payment and approved refund method for purchased CXC.

Users may earn CXC through qualifying participation. Advertisers and approved organisations may buy CXC and use it inside CommExcellence for eligible advertising, Commercial Signal and research access, future development tools, platform features and other services expressly priced in CXC.

CXC does not give a holder ownership in CommExcellence (Pty) Ltd, voting rights, shares, dividends, profit participation, a claim against company assets or any expectation of investment return.

These CXC Terms form part of the Terms of Use.

ACCEPTANCE & ELIGIBILITY

Using CXC means accepting these rules.

By earning, receiving, purchasing or redeeming CXC, you agree to these CXC Terms and to the platform rules displayed at the time of the relevant activity or transaction.

Paid CXC may be purchased only by a person who is legally capable of entering into the transaction or by an authorised representative acting for an organisation. CommExcellence may require account, billing, company or identity information where reasonably necessary for invoicing, fraud prevention, support or legal compliance.

Access to CXC features may be limited by country, account type, age, organisation, programme stage or the availability of a particular product or service.

EARNED CXC

Useful participation can earn CXC.

CommExcellence may award CXC for qualifying activity such as account registration, verified profile completion, Commercial Scorecard completion, research participation, constructive feedback, approved comments, product testing, referrals, learning activity, routine platform engagement or other contribution types published from time to time.

The exact earning rate, eligibility requirements, caps and verification rules may differ by activity. Routine activity may earn less than higher value contributions. Completing an action does not create a permanent right to the same CXC reward in future.

Research related rewards are for genuine participation only. CXC must never depend on giving a particular Scorecard answer, supporting a preferred conclusion or producing a result that favours CommExcellence, an advertiser or any other party.

CommExcellence may delay, refuse or reverse earned CXC where activity is duplicated, automated, fraudulent, manipulated, abusive, technically invalid, created through multiple accounts, generated through prohibited automation or otherwise fails the published qualifying rules.

PURCHASING CXC

Purchased CXC is paid for with supported crypto only.

CommExcellence does not accept fiat currency for CXC purchases. At launch, supported payment assets are BTC, ETH, XRP, RLUSD and USDT, subject to the specific blockchain network and payment route displayed at checkout.

The CXC purchase value is calculated at USD 1 per CXC. The checkout converts the USD reference value of the CXC order into the selected supported crypto asset using the exchange rate displayed by the approved payment provider or checkout system at the time the transaction is created or confirmed.

A purchase is complete only after the required blockchain or payment-provider confirmations have been received. The buyer is responsible for using the exact asset, network, address, destination tag or memo and other payment instructions displayed at checkout.

Sending an unsupported asset, using an unsupported network, omitting a required tag or memo, or sending to an incorrect address can cause permanent loss and may not be recoverable by CommExcellence.

Crypto market prices can change between quote, payment, confirmation and refund. The CXC unit value remains USD 1; the number of crypto units required to purchase that CXC may therefore change.

PURCHASED & EARNED BALANCES

Purchased CXC and earned CXC are recorded separately.

CommExcellence may maintain separate ledger balances for purchased CXC and earned CXC. This is necessary because purchased CXC represents paid platform value, while earned CXC is a participation reward.

Purchased CXC may be eligible for a crypto refund under these terms. Earned CXC has no cash or crypto refund value.

When a redemption uses a combined balance, CommExcellence may apply a reasonable ledger allocation method and will maintain transaction records showing how the balance was used.

WHAT CXC CAN BUY

CXC unlocks access, information and tools inside the platform.

Eligible uses may include access to premium Commercial Signal reports, researched reports and evidence reviews, gated research outputs, digital publications, future CommExcellence tools, product features, advanced analysis, event or learning access and other platform services that are expressly marked as redeemable with CXC.

A redemption grants the access or licence described for that item. It does not transfer ownership of CommExcellence intellectual property, research methodology, source data, software or publication rights unless a separate written agreement expressly says otherwise.

CommExcellence will display the CXC cost before redemption. Once digital access has been delivered or a service has started, a redemption may be final subject to any mandatory cancellation, refund or consumer rights that apply.

CXC & ADVERTISING

CXC can buy approved advertising. It cannot buy editorial influence.

Advertisers may use purchased CXC toward approved advertising inventory, sponsorship formats, publication placements, Commercial Signal partner opportunities or other advertising services that CommExcellence prices in CXC.

Every placement remains subject to availability, editorial standards, legal review where appropriate, campaign specifications and the applicable advertising or insertion order terms. CommExcellence may reject or require changes to material that is misleading, unlawful, unsubstantiated, infringing, unsafe or inconsistent with reader trust.

CXC cannot be used to buy a favourable research finding, Commercial Scorecard result, editorial conclusion, recommendation, hidden endorsement, research weighting, participant identity, personal information, reputation status or access to identifiable Scorecard responses.

If CommExcellence declines a placement before the relevant advertising service is delivered, CXC allocated to that undelivered placement will ordinarily be restored to the advertiser's eligible balance unless a different lawful cancellation arrangement was agreed in writing.

SIGNAL & RESEARCH ACCESS

Research access does not mean ownership of the research.

CXC may be redeemed for access to selected Commercial Signal editions, premium reports, research summaries, evidence reviews or other gated content. Access may be personal, account based or organisation based depending on the product description.

Unless the product expressly includes broader rights, paid or CXC based access is a limited licence to read and use the material internally. It does not permit bulk redistribution, resale, public republication, scraping, dataset creation or removal of copyright and rights notices.

Published research may evolve as the sample grows. Purchasing or redeeming CXC for research access does not guarantee that a finding will remain unchanged or that a report will support a particular commercial position.

FUTURE TOOLS

Future tools may have their own CXC price and rules.

CommExcellence intends to develop practical tools from evidence produced by its research programme. CXC may be used to unlock or pay for those tools when they are released.

Individual tools may have separate usage limits, licences, seat rules, subscription periods, fair use controls, data processing terms or service specific conditions. Those terms will be shown before CXC is redeemed for the relevant tool.

VALUE & PRICING

1 CXC always represents USD 1 of platform value.

CommExcellence uses a fixed internal reference value of USD 1 per CXC when pricing CXC purchases, CXC redemptions and eligible CXC refunds.

This reference value does not make CXC United States dollars, legal tender, electronic money, a stablecoin, a crypto asset or a bank deposit. CXC is only a contractual platform credit redeemable for eligible CommExcellence offerings.

The crypto amount needed for a purchase or returned in a refund is determined by converting the applicable USD reference amount into the selected or original supported crypto asset using the relevant exchange rate at that time.

CRYPTO PAYMENT RULES

Crypto is the payment rail. CXC is still a closed platform credit.

  • Only BTC, ETH, XRP, RLUSD and USDT are accepted for CXC purchases unless the checkout expressly adds another supported asset.
  • Only the network and payment instructions displayed at checkout are supported for a particular transaction.
  • Fiat payment for CXC is not accepted.
  • CXC itself is not placed on a blockchain, is not externally traded and is not a crypto asset.
  • CommExcellence does not provide investment advice, crypto trading, portfolio management, crypto exchange services or a secondary market for CXC.
  • CommExcellence may use an authorised or otherwise lawfully operating crypto payment provider to receive, verify, convert or administer supported crypto payments.
  • Network, gas or payment-provider fees may apply to the crypto transaction and should be shown by the relevant wallet, network or provider where available.
NO TRANSFERS

CXC belongs to the account to which it is issued.

CXC cannot be transferred, gifted, sold, brokered, pledged or moved from one user or organisation to another. There is no person-to-person transfer feature and no authorised secondary market.

CommExcellence may make internal administrative corrections between its own ledger records where necessary to fix a documented platform error, but this does not create a general transfer right.

NO EXPIRY

CXC does not expire because time has passed.

Purchased CXC and earned CXC have no ordinary expiry date while the CXC programme remains active and the relevant account remains in good standing.

CXC may still be reversed where it was obtained through fraud, duplicate activity, payment reversal or abuse. If the CXC programme is discontinued, CommExcellence will provide a reasonable wind-down process. Eligible unused purchased CXC will be handled under the refund rules and applicable law.

CRYPTO REFUNDS

Unused purchased CXC can be refunded in the crypto used to buy it.

A holder may request a refund of eligible unused purchased CXC. Earned CXC is not refundable. CXC already redeemed for advertising, content access, reports, tools or other delivered services cannot ordinarily be refunded except where required by law or where CommExcellence agrees to restore the relevant value because of an error or failed service.

The refundable USD reference amount is calculated at USD 1 for each eligible CXC. That USD amount is then converted into the same crypto asset originally used to purchase the CXC using the exchange rate applicable when the refund is processed.

Because crypto prices fluctuate, the number of BTC, ETH, XRP, RLUSD or USDT units returned may be more or less than the number of crypto units originally paid. The refund is based on the CXC USD reference value at refund time, not on preserving the buyer's original crypto quantity.

Refunds may require transaction verification, confirmation of the original purchase and a verified destination wallet or payment-provider route. CommExcellence will not make a fiat refund for CXC purchased with crypto.

Mandatory consumer cancellation or refund rights remain effective where applicable.

TRANSACTION RECORDS

Your balance should be explainable.

CommExcellence may maintain a transaction ledger showing CXC earned, purchased, redeemed, reversed, restored, expired or adjusted. The platform record is used to administer the balance, subject to correction where an error is identified.

You should review material CXC transactions and report suspected errors, unauthorised activity or unexplained deductions as soon as reasonably possible so they can be investigated.

Temporary display errors, delayed updates or service outages do not create additional CXC where the underlying transaction record shows a different verified balance.

FRAUD & ABUSE

Gaming the system can cost the reward.

Prohibited conduct includes fake or duplicate accounts, bots, scripted participation, fabricated Scorecards, manipulated research responses, self referrals designed only to earn rewards, false profile information, spam comments, collusion, unauthorised account access, payment fraud, abusive chargebacks and attempts to exploit technical errors.

CommExcellence may investigate suspicious activity, delay CXC while verification is performed, reverse improperly earned CXC, cancel an affected redemption, limit access or suspend an account. Any action involving purchased CXC will remain subject to mandatory consumer and contractual rights.

ACCOUNT SUSPENSION & CLOSURE

Access can be restricted when the rules are seriously broken.

CommExcellence may suspend CXC features where reasonably necessary for security, fraud prevention, legal compliance, payment disputes, abuse investigation or serious breach of these terms.

If an account is permanently closed for misconduct, improperly earned CXC may be cancelled. Outstanding purchased CXC will be handled in accordance with applicable law, the reason for closure and any written commercial agreement.

If a user voluntarily closes an account, the platform may require eligible CXC to be used within a stated wind down period or may provide another lawful method for dealing with outstanding paid value.

PROGRAMME CHANGES OR CLOSURE

CXC can evolve without turning paid balances into a moving target.

CommExcellence may add or remove earning activities, introduce new redemption options, change future reward rates, set fair use limits, improve fraud controls or modify the CXC programme as the platform develops.

Material changes will be communicated through the platform, these terms, account notices or another reasonable channel. Changes affecting existing purchased CXC will be managed with regard to applicable law and any rights already created by a completed purchase.

If CommExcellence decides to discontinue CXC, it will aim to provide reasonable advance notice and a reasonable opportunity to use eligible balances. Purchased CXC will be handled in a manner consistent with mandatory law and any applicable commercial agreement.

PRIVACY & RESEARCH INDEPENDENCE

CXC payments can be verified without selling participant identity.

Operating CXC may require processing account identifiers, CXC balances, earning events, purchase records, crypto asset type, wallet or payment-provider information, blockchain transaction hashes, exchange-rate records, redemption history, refunds, fraud signals, device or session information and support records. This processing is subject to the Privacy Policy and POPIA Notice.

An advertiser purchasing CXC does not gain access to identifiable Scorecard responses, participant identities, private research submissions or another user's CXC activity merely because it purchased CXC or advertising.

CXC rewards must never depend on providing a particular research answer or supporting a preferred research conclusion. Advertiser spending must remain separate from research and editorial judgement.

Earning CXC does not automatically subscribe a user to Commercial Signal or other marketing. Marketing consent remains separate.

TAXES & RECORDS

Crypto payments and CXC transactions create accounting records.

CommExcellence is currently not VAT registered. It therefore does not presently charge South African VAT as a registered VAT vendor on CXC purchases. This status may change if registration becomes required or appropriate.

Crypto received in exchange for CXC may have South African tax consequences and will be recorded using an appropriate fiat valuation for accounting and tax purposes. Buyers remain responsible for their own tax, accounting and internal approval treatment.

CommExcellence may retain invoices, purchase confirmations, crypto asset type, transaction amount, exchange-rate information, transaction hashes or payment-provider references, refund records and CXC ledger movements for accounting, support, security, fraud prevention and legal compliance.

INTELLECTUAL PROPERTY

Redeeming CXC buys access, not the underlying rights.

CommExcellence retains its rights in Commercial Signal, research, the Commercial Scorecard, methodologies, graphics, reports, software, interfaces, branding and future tools. CXC redemption does not transfer those rights.

Content and tools may have usage limits intended to protect licensing, confidentiality, research integrity and commercial value. Access may not be resold or shared beyond the licence granted for the relevant redemption.

AVAILABILITY & LIABILITY

CXC is a platform service, not a promise of business results.

CommExcellence does not guarantee uninterrupted access to the CXC system or that every earning opportunity, report, tool or advertising format will remain permanently available.

CXC does not guarantee leads, sales, traffic, research outcomes, commercial improvement or any return on advertising spend. Advertisers remain responsible for campaign decisions and users remain responsible for how they use reports, Scorecard outputs and tools.

To the maximum extent permitted by law, CommExcellence is not liable for indirect or consequential loss arising solely from ordinary CXC programme changes or temporary service interruption. Nothing in these terms excludes rights, remedies or liability that cannot lawfully be excluded.

LAW & CONSUMER RIGHTS

South African law applies.

These CXC Terms are governed by the laws of the Republic of South Africa. Mandatory rights under the Consumer Protection Act, Electronic Communications and Transactions Act, POPIA and other applicable legislation remain effective despite any conflicting wording in these terms.

Crypto assets accepted as payment are not represented by CommExcellence as South African legal tender. Their market value can fluctuate materially. The use of crypto as a payment method does not change CXC into cryptocurrency or an investment product.

Before a CXC purchase is confirmed, the checkout should display the CXC quantity, USD reference value, selected crypto asset, applicable exchange-rate basis, crypto amount due, supported network, payment instructions and relevant purchase terms.

Questions, CXC balance disputes and refund requests can be sent to gideon@commexcellence.com or +27 82 377 6698.

CHANGES TO THESE TERMS

The rules will be updated when CXC materially changes.

CommExcellence may update these CXC Terms to reflect new earning methods, redemption options, advertising formats, tools, technology, law or operating requirements. The updated date will be changed when the page is revised.

Where a material change requires fresh acceptance or advance notice, CommExcellence will use a reasonable method to obtain that acceptance or provide that notice before the change takes effect.
